Draft — not yet in force — requires legal and compliance approval
This document is a placeholder drafted for internal review. It is not legal advice, is not final, and does not yet govern any relationship with Black Pool Capital. Final policies will be published before any service becomes available.
Purpose and status of this document
This document is a framework draft prepared for internal review. It describes the client information Black Pool Capital intends to provide under applicable financial-services law if and when it offers a regulated financial service. It does not create any client relationship, is not final, is not in force, and requires legal and compliance approval before publication. Black Pool Capital currently offers no regulated financial service.
Identity of the future financial service provider
The provider of any future service would be the company that operates Black Pool Capital. That company has not yet been incorporated; its identity and formal contact channel for financial-services matters will be stated here once it exists.
Current pre-authorisation status
Black Pool Capital is not currently licensed or regulated, and no authorisation is claimed here. Nothing in this document should be read as indicating that a regulated service is available today. Any future service would be subject to incorporation, obtaining the required regulatory approval and the arrangements described here being finalised.
Intended service type
The service Black Pool Capital intends to provide is the management of a future investment fund, informed by systematic, quantitative models, which is intended to be open to retail investors. This intended scope is described for information only. The definitive structure, the fund's investment policy and the instruments it may cover depend on legal advice, regulatory approval and confirmed service-provider arrangements, and are not settled.
Investing through a fund
Under the intended model, investors would acquire shares or units in a future fund rather than grant Black Pool Capital an individual mandate. Black Pool Capital would manage the fund's portfolio within the fund's documented investment policy. The fund's offering documents are not yet drafted, and no fund exists today.
Fund assets held separately
Fund assets are intended to be held separately from Black Pool Capital's own assets. The precise legal structure of the fund depends on legal advice and regulatory approval and is not yet fixed.
Black Pool Capital would not hold client assets
Black Pool Capital does not currently accept, hold, safeguard or administer investor money or securities, and the intended model does not contemplate Black Pool Capital taking custody of fund assets. Safekeeping would be provided by an independent custodian appointed for the fund, once appointed.
Intended roles of future service providers
Independent service providers, such as a custodian, broker and administrator, would be expected to provide safekeeping, order execution, settlement and fund administration. None is appointed, and the allocation of roles among them is not yet settled.
Client risks
Any future investment service would involve risk, including the risk of losing some or all of the capital invested. A separate general risk disclosure describes the categories of risk in more detail in draft form. No investment approach can guarantee returns or prevent losses, and past or simulated performance is not a reliable indicator of future results.
Costs and fees
Any future fund would involve costs, which could include a management fee, fund operating costs such as custody, administration, audit, brokerage, foreign exchange and market data, and applicable taxes and duties. No fee model has been approved and no rates have been set. A separate fee disclosure describes the intended fee framework in draft form.
Conflicts of interest
Black Pool Capital intends to identify, prevent where possible, and otherwise manage and disclose conflicts of interest, including those arising from its own proprietary models, from the selection of providers, and from any third-party compensation. A separate conflicts-of-interest policy describes the intended approach in draft form. Governance and staffing arrangements are not yet established.
Third-party compensation
Whether any third-party compensation, retrocession or inducement could arise in a future service depends on provider arrangements that are not confirmed. Black Pool Capital's intended position on receiving, retaining, passing on or disclosing any such compensation would be stated in the finalised conflicts and fee documents. No such arrangement exists today.
Complaints and ombudsman
Black Pool Capital intends to operate a documented complaints process and, before offering any regulated service, to affiliate with a recognised ombudsman or dispute-resolution body where required by applicable law. No ombudsman affiliation is currently confirmed. Separate complaints and ombudsman documents describe the intended approach in draft form.
Documentation and information duties
If a regulated service is offered, Black Pool Capital intends to provide the pre-contractual and ongoing information, and to keep the records, required under applicable financial-services law. The precise documents a client would receive, and the timing of their delivery, depend on the finalised service model and are not yet settled.
Missing factual inputs
The following remain undetermined and are required before this document could be finalised: incorporation of the operating company; its regulatory approval; the fund's legal structure; the appointed service providers; the approved investment policy; the approved fee model; and the applicable dispute-resolution arrangements. None of these may be assumed.
